User Subscription Agreement & Terms of Use

This web ordering portal is owned and operated by One Source Mobile an Ohio Limited Liability Corporation. Use of the One Source Mobile web ordering portal as a subscriber or even as a non subscriber acknowledges that you agree to and will comply in full with all terms and conditions of the site and any other agreements pertaining to the One Source Mobile website. By using the One Source Mobile website or by subscribing to the services such the analysis of your personal or corporate mobile phone billing records and/or a cellular phone bill audit ("Services") on One Source Mobile, you are agreeing to comply with all the terms of this agreement in full. The information provided on this site is provided subject to compliance with the terms of this Agreement Please read all of this agreement in its entirety.

Modification of These Terms of Use:
One Source Mobile reserves the right to change the terms, conditions, and notices under which the One Source Mobile website is offered, including but not limited to the charges associated with the use of the One Source Mobile website. You are responsible for regularly reviewing these terms and conditions. This User Agreement is intended to supplement the Site’s Terms of Use Agreement. To the extent there is any conflict or contradiction between this User Agreement and the Terms of Use, this User Subscription Agreement shall take precedence and control.
Membership Terms Changes & Updates: One Source Mobile may at any time choose to edit, add and/or delete portions of this membership agreement and impose changes without prior notification to its members. Members will be responsible to check their portal/website’s terms and conditions to review any changes that may be implemented by One Source Mobile. You may or may not be proactively informed of any or all changes made to the membership policy. If membership terms modifications are unacceptable to you, then please do not sign up as a member.
You must be 13 years of age or older to become a member of One Source Mobile’s portals. Our membership is open to both US and International members and is void where prohibited by local governing laws. You agree to and must use your own name, email address, and contact information in the sign-up process. You agree that you will not assume a false identity. You agree to keep your contact information up to date at all times while you are a member.

Inappropriate Activity: Should any system abuse or any type of activity by a Member be deemed to be inappropriate or illegal by One Source it may result in member’s termination. One Source Mobile as the right to terminate a member at any time for any reason without previous notice with or without cause.
Protection of Customer Privacy:
One Source Mobile does not sell, trade, or rent your personal information to outside companies or marketing firms. We may share this information with other. We do use personal customer information only when required for the specific and limited purpose of providing One Source Mobile products or services to you.

Privacy:
Use of the data that you provide to One Source Mobile, or which is collected by One Source Mobile on our website is governed by our Privacy Policy. By using our site(s) you consent to such processing and to our privacy policy. The information we collect depends on what you do when you visit our web site. There are two types of information that we are likely to record:

One Source Mobile may also use this information to send you e-mails about new products and services. If you create a personal account with us and provide us with the above information for the purpose of conducting business, you authorize us to store your name, shipping address, credit card and billing information. Special Deals Offers & Incentives: By signing up for membership on a One Source Mobile portal, you agree to receive updates and e-mail advertising from One Source Mobile and its partner companies, advertisers/affiliates/partners, etc. You leave it up to the discretion of One Source Mobile and its ownership to determine what advertising can and cannot be sent to your e-mail address as a member. You agree that One Source Mobile e-mails sent to your Members e-mail address does not constitute spamming because we have your approval to send e-mails to your Membership e-mail address. One Source Mobile agrees not to send any e-mails that would be considered offensive to its Members. One Source Mobile will not distribute, provide, or sell Members contact information to any 3rd party company. All Membership information is for the sole use of One Source Mobile. We will not share your information with anyone else for any reason. From time to time our Members may receive special incentives, cost discounts, coupons from our Advertisers/Affiliates/Partners, One Source Mobile cannot be held responsible for any loss, issues, problems, or harm that may arise as a result of advertising or promotional offers or incentives provided to our Members via our Advertisers/Affiliates/Partners. Members agree to hold One Source Mobile harmless against any issues, claims. or legal action that may arise as a result of signing up to become a member of our site.
Access to One Source Mobile Website:
We try to ensure that the websites availability is uninterrupted, that transmissions will be error-free. However, we cannot guarantee that your access will not be suspended or restricted from time to time, including to allow for repairs, maintenance or the introduction of new products or services. We of course try to limit the frequency and duration of any suspension or restriction.

User Eligibility:
Our services are available only to individuals and companies who can form a legally binding contract under applicable law. Without limiting the foregoing, our services are not available to anyone who is under eighteen years of age or users that have had their user account with One Source Mobile suspended. If you are registering as a business entity, you represent that you have the authority to access your company’s corporate bills for uploading on One Source Mobile, and that you have the authority to bind the entity to this Agreement.

Member ID and Password; Identity Verification:
As part of the member registration process, you will be asked to select a user name ("Member ID") and password. You must only provide accurate information when you register with the Site. Further, your account and user ID may not be transferred or sold to another party. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR MEMBER ID (USERNAME) AND PASSWORD AND FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.
Accounts and Passwords:
If you have registered or subscribed to the One Source Mobile website, any user identification code or password must be kept confidential and used only by you unless agreed to in writing with One Source Mobile. We have the right to disable, turn off, or shut down any user identification code or password whether chosen by you or allocated by us at any time if in our opinion you have failed to comply with any of the provisions of these terms of use.
In the event you are given a discount code through your employer, public website, etc you agree not to share that discount code with anyone other than your immediate family and friends. You agree not to publish or provide the discount code for the general public’s use. The discount code should remain private and you agree not to share the discount code in any way that would violate this agreement.

Limitation of Liability:
TO THE FULLEST EXTENT PERMITTED BY LAW, ONE SOURCE MOBILE AND ONECOM MEDIA, LLC EXPRESSLY EXCLUDES:

i. ALL CONDITIONS, WARRANTIES AND OTHER TERMS WHICH MIGHT OTHERWISE BE IMPLED BY STATUTE, COMMON LAW OR THE LAW OF EQUITY;

ii. ANY LIABILITY CAUSED BY A FORCE MAJEURE EVENT;

iii. ANY OBLIGATION OF EFFECTIVENESS OR ACCURACY; AND

iv. OTHER THAN AS SET OUT BELOW, ANY LIABILITY FOR ANY DIRECT, INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE INCURRED BY YOU IN CONNECTION WITH THIS AGREEMENT, INCLUDING BY YOUR USE OR INABILITY TO USE ANY INFORMATION ON OUR WEBSITE OR WITHIN ANY SERVICE OR PUBLICATION SUBSCRIBED TO, VIA ANY WEBSITES LINKED TO OUR WEBSITE(S) AND ANY MATERIAL POSTED ON IT, INCLUDING WITHOUT LIMITATION ANY LIABILITY FOR LOSS OF INCOME OR REVENUE, LOSS OF BUSINESS, LOSS OF PROFITS OR CONTRACTS ANTICIPATED SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, WASTED TIME AND FOR ANY OTHER LOSS OR DAMAGE OF ANY KIND, HOWSEOEVER AND WHETHER CAUSED BY TORT INCLUDING NEGLIGENCE, BY BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORSEEABLE.

NOTHING IN THIS PROVISION AFFECTS OUR LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM OUR NEGLIGENCE NOR FOR LIABILITY FOR FRAUDULENT MISREPRESENTATION OR MISREPRESENTATION AS TO A FUNDAMENTAL MATTER NOR ANY OTHER LIABILITY WHICH CANNOT BE EXLUDED OR LIMITED UNDER THE APPLIACABLE LAW. THESE PROVISIONS DO NOT AFFECT ANY APPLICABLE STATUTORY RIGHTS.

IN NO EVENT SHALL CELLBILL.COM OR ONECOM MEDIA BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL, DAMAGES, OR ANY DAMAGES WHATSOEVER, EVEN IF ONE SOURCE MOBILE OR ONECOM MEDIA HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION UNDER CONTRACT, NEGLIGENCE, OR ANY OTHER THEORY, ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR PERFORMANCE OF THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS AVAILABLE FROM THIS SITE. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Typographical Errors:
In the event that a One Source Mobile product or service is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, One Source Mobile shall have the right to refuse or cancel any orders placed for product or service listed at the incorrect price. One Source Mobile shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, One Source Mobile shall issue a credit to your credit card account in the amount of the incorrect price.

One Source Mobile Fees:
By electing to utilize One Source Mobile services and by providing us with your payment information, you fully authorize and instruct One Source Mobile to bill your credit card account for the amount of your purchases made plus shipping cost. You are responsible for paying in full for all fees associated with using our service and our website and all applicable taxes. One Source Mobile may in our sole discretion change some or all of applicable fees at any time. We do not store any credit card information or billing address information once a payment has been processed in full. All fees are quoted in U.S. Dollars.

Refund Policy:
In the event that you are not satisfied after purchasing from One Source Mobile, you may qualify for a refund.
All of our products carry a minimum of one year manufacturer’s warranty against defects. Our Customer Care Program includes our ‘Satisfaction Guaranteed’ commitment as well as our ‘No Hassles’ return policy. Less than 1% of the total items we supply to our Customers come back as defective. Our success is proven and guaranteed! We work nationally with some of the largest companies and government agencies in the country.
One Source Mobile’s guarantee is for one year against manufacturer defects from the date of purchase (excludes batteries). This does not include products that have experienced customer abuse or excessive wear. This warranty does not cover altered, modified, or damaged through misuse, negligence, accident, or improper use of the product. If you have something that needs to be returned please send the item back to the address below. Please make certain to include a note with your name, company, address, the problem with the merchandise, and any other request you may have. You must send the item back so that the returned package/shipment can be tracked. You must retain the tracking number in the event the item is lost in shipment. We will not be responsible for items that are not returned without the ability to track the shipment. If an item is returned without tracking capabilities and is lost, we will not be responsible for refunding the purchase. The item must still be returned in the original packaging. We will reimburse your account for reasonable shipping cost (USPS cost) within 30 days of the receipt of the defective item if the item is deemed to be a manufacturers defect.
Indemnification:
You agree to indemnify, defend, and hold harmless One Source Mobile and One Com Media, its officers, directors, employees, agents, licensors and suppliers (collectively the "Provider") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your use of services and account (including negligent or wrongful conduct), by you or any other person accessing the One Source Mobile website and using the services provided by One Source Mobile.

Entire Agreement & Assign Ability:
This User Subscription Agreement and the Terms of Use constitute the full and entire agreement between you and One Source Mobile with respect to your (or your companies use for corporate accounts) use of the One Source Mobile website and the One Source Mobile products and services. There are no other warranties, representations, terms, agreements, conditions, oral or written regarding the use of the One Source Mobile website other than the ones set forth in this agreement. One Source Mobile may choose to at any time assign or transfer at its own choosing and sole discretion all rights of ownership of the One Source Mobile website and all collected information, memberships, etc of the said website to a third party in the event of a acquisition or merger.

Confidentiality:
The services that One Source Mobile delivers are based on proprietary technology. As a result of your use of the website and joining as a member of One Source Mobile, you may be provided access to information from One Source Mobile that is considered confidential and proprietary to One Source Mobile. This information may include without limitation, software, computer programs, market information/research, formats and technology for arranging, optimizing, organizing, auditing presenting data, tables, unpublished rate plans, web development, code, design concepts, processes, analytics, processes , patterns, savings concepts, and information used by One Source Mobile to audit and optimize cellular phone bills. You agree to hold all information you may come across or be exposed to as a result of your use of the One Source Mobile web ordering portal as confidential and proprietary. You agree not to disclose any of this proprietary or confidential information or allow it to be disclosed, directly or indirectly, to any person or entity. You agree to be fully obligated to protective and care for the information and keep it confidential and proprietary at all times.
Information that will not be considered confidential and proprietary if it meet the following criteria, 1.It becomes generally available to and known by the public (so long as the disclosure is not the result of a disclosure that directly or indirectly by you or any other person who is bound by a One Source Mobile NDA); or 2.if the information becomes available to you or the general public that is considered non-confidential and obtained from a source outside One Source Mobile, its affiliates, advisors, or representatives so long as that same information is not and was not bound by the One Source Mobile confidentiality agreement.

Severability:
If any provision of this Agreement is deemed unlawful, void, voidable or unenforceable for any reason by any court or other tribunal of competent jurisdiction, then such provision(s) shall be reformed without further action by the parties to the extent necessary to make such provision(s) valid and enforceable when applied to such facts or circumstances, with the objective of achieving as nearly as legally possible the same effect.

Security:
You shall be responsible for maintaining the confidentiality of your password, and you are fully responsible for all activities that occur under your User ID and password. Any User ID and password for your access to the One Source Mobile website shall be for your personal (or your companies for corporate accounts) use only. You agree to (a) immediately notify us of any unauthorized use of your User ID or password of which you become aware, and (b) ensure that you exit from your account at the end of each session.
Term: This Agreement shall remain in full force and effect from the time you register on One Source Mobile ("Effective Date") until you initial usage of services based on the initial fee you paid is depleted ("Initial Term"). Upon the expiration of the Initial Term and payment of the renewal fees, this Agreement shall continue with standard fees until either party delivers notice to
Use of “Cookies” and Other Tracking Technologies:
One Source Mobile may use cookies and other technologies to facilitate and track your use of services offered on the One Source Mobile website and in connection with our e-mail communications.

Accuracy of Information: Although we strive to ensure the accuracy of the information found on the One Source Mobile website, neither we, nor our affiliates, licensees, suppliers, or agents, can be held responsible by you for the accuracy of such information. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all information provided on this website.

Disclaimer:
You expressly agree that your use of the One Source Mobile web ordering portal, and of any user content, information, advice, recommendations, services, products, and other materials contained in or described on the One Source Mobile web ordering portal, is entirely at your own risk, and that all such information and materials are provided on an "as is" and "as available" basis. Nothing contained in these Terms and Conditions shall be deemed to grant to you or any other User any rights, title or interest in or to any copyright, trademark or other proprietary right of ours or any of our licensors.
Any trademarks, service marks, and other marks and indicators of source or origin that are displayed on the One Source Mobile website are the proprietary property of One Source Mobile and OneCom Media or our respective licensors, as applicable.
